Legal Notice – Read Carefully: These Terms & Conditions (“Terms”) form a binding contract between you (“User,” “you,” or “your”) and Vikiio Platforms Inc. (“Vikiio,” “we,” “our,” or “us”) governing your use of the Vikiio Meets website, desktop, and mobile applications, including all related features, content, and services (collectively, the “Service”). By creating an account, downloading, or using the Service, you agree to these Terms. If you do not accept them, do not access or use the Service.
1. Eligibility & Account Registration
1.1 Minimum Age. You must be at least 18 years old (or the legal age of majority in your jurisdiction) to create an account.
1.2 Accuracy of Information. You agree to provide true, complete, and current information during registration and to keep it updated.
1.3 Account Security. You are responsible for safeguarding your credentials. Notify us immediately of any unauthorized use. We are not liable for losses arising from unauthorized activity on your account.
2. Subscriptions, Free Tier & Payment
2.1 Plans. Vikiio Meets offers (a) a Free Tier with limited meeting duration and capacity and (b) paid plans with expanded functionality.
2.2 Billing. Paid plans are billed in advance on a monthly or annual cycle via our payment processor (e.g., Stripe). Prices exclude applicable taxes, which you are responsible for paying.
2.3 Upgrades & Downgrades. Plan changes take effect on your next billing cycle unless stated otherwise.
2.4 Refunds. Except where required by law, all fees are non‑refundable.
3. License & Permitted Use
3.1 Limited License. We grant you a non‑exclusive, non‑transferable, revocable license to access and use the Service in accordance with these Terms.
3.2 Restrictions. You may not (a) reverse engineer, decompile, or attempt to extract source code; (b) interfere with security‑related features or network capacity; (c) use automated systems (bots, scrapers) to access the Service; (d) violate any applicable law; or (e) upload malicious code.
4. User Content & Recordings
4.1 Ownership. You retain all rights to files, chat messages, audio, video, or other content you upload or transmit (“User Content”).
4.2 License to Vikiio. You grant us a worldwide, royalty‑free license to host, process, transmit, and display User Content solely to operate the Service.
4.3 Meeting Recordings & Transcripts.
a) Hosts control whether meetings are recorded. Participants receive in‑product notice when recording is active.
b) Recordings, transcripts, AI‑generated captions, notes, and translations are stored in Vikiio’s cloud or locally as designated by the host.
c) You are responsible for obtaining all required consent from meeting participants and for complying with applicable recording, privacy, and data‑protection laws.
4.4 Content Moderation. We may remove or disable content that we, in good faith, believe violates these Terms or applicable law but have no obligation to monitor User Content.
5. Prohibited Conduct
You agree not to use the Service to:

Harass, threaten, or defame any person.

Share content that is obscene, hateful, or infringing.

Conduct or promote illegal activities.

Violate export control or sanctions laws.

Collect personal data of others without consent.
6. Third‑Party Services & Integrations
6.1 The Service may integrate with third‑party platforms (e.g., Google Workspace, Microsoft 365, Slack). Your use of those services is governed by their separate terms, and Vikiio is not liable for third‑party actions or content.
6.2 If you enable an integration, you authorize us to share or receive data as necessary to facilitate the integration.
7. Intellectual Property
7.1 Vikiio IP. The Service, trademarks, logos, and software are owned by Vikiio or its licensors and protected by intellectual‑property laws.
7.2 Feedback. You may submit suggestions or feedback; we may use them without restriction or compensation.
8. Security & Data Privacy
8.1 Encryption. Meetings use industry‑standard encryption protocols (DTLS‑SRTP) for audio/video streams; chat and files are encrypted in transit and at rest.
8.2 Data Processing. Our collection and use of personal data are described in the Vikiio Meets Privacy Policy, which is incorporated by reference.
8.3 Compliance. Enterprise plans may offer additional compliance features (e.g., SOC 2). You remain responsible for determining whether the Service meets your regulatory obligations.
9. AI & Beta Features
9.1 AI Output. Captions, translations, summaries, and voice‑cloning output are generated by machine‑learning models and may contain inaccuracies. Do not rely on AI output as professional advice.
9.2 Beta Services. Features labeled “Beta,” “Preview,” or similar are provided “AS IS,” may be modified or discontinued, and are excluded from SLAs.
10. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Vikiio disclaims all warranties (express or implied), including merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted availability.

We make no guarantees regarding call quality, latency, or the accuracy of AI‑generated output.
11. Limitation of Liability
To the maximum extent permitted by law:

Indirect Damages. Vikiio shall not be liable for any indirect, consequential, special, exemplary, or punitive damages (including lost profits, loss of data, or business interruption).

Aggregate Cap. Vikiio’s total liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) $100 USD or (b) the amount you paid to Vikiio for the Service in the 12 months preceding the event giving rise to liability.

Some jurisdictions do not allow certain exclusions; in those cases, liability is limited to the minimum required by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vikiio, its affiliates, and their directors, officers, employees, and agents from any third‑party claims, damages, and expenses (including reasonable attorneys’ fees) arising from your: (a) misuse of the Service; (b) violation of these Terms; or (c) infringement of any third‑party right.
13. Termination & Suspension
13.1 By You. You may stop using the Service at any time and, if applicable, cancel your paid plan via your account settings.
13.2 By Vikiio. We may suspend or terminate your access if you (a) breach these Terms, (b) cause security or legal risk, or (c) fail to pay fees.
13.3 Effect. Upon termination, your license ends, and you must cease all use. Sections 4, 7, 10–12, 15 survive termination.
14. Changes to the Service or Terms
We may modify the Service or these Terms to reflect changes in technology, law, or business needs. We will provide notice of material changes via email or in‑product notification. Continued use after the effective date constitutes acceptance.
15. Governing Law & Dispute Resolution
15.1 Governing Law. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑laws principles.
15.2 Arbitration. Any dispute arising under these Terms will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. You and Vikiio waive the right to a jury trial or to participate in class actions.
15.3 Opt‑Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@vikiio.com with subject line “Arbitration Opt‑Out.”
16. Export Compliance
You agree to comply with U.S. export and sanctions laws and shall not use or transfer the Service to embargoed countries or prohibited end‑users.
17. Miscellaneous

Entire Agreement. These Terms and any referenced policies constitute the entire agreement between you and Vikiio regarding the Service.

Severability. If any provision is held unenforceable, the remaining Terms remain in full force.

Assignment. You may not assign these Terms without Vikiio’s prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Force Majeure. Vikiio is not liable for failures caused by events beyond reasonable control (e.g., natural disasters, internet outages).
